Terms & Conditions
These terms govern your use of this website and the commercial relationship that follows from an enquiry made through it. They apply to every quotation, sample and production order unless a signed contract between us says otherwise.
1. The website
This site presents the manufacturing capability of Vinnytska Shkirhalantereina Fabryka. Product descriptions, material specifications, thicknesses and lead times are indicative and are addressed to professional buyers. Nothing here is a public offer; a binding obligation arises only from a written specification and order confirmation signed by both parties.
2. Enquiries and quotations
We answer enquiries within two working days. A quotation states the model, the leather and hardware selected, the quantity, the unit price, the development schedule and its own validity period — normally thirty calendar days. After that period prices may be revised, because hide, hardware and energy costs move.
3. Development and samples
Development normally takes six to eight weeks and includes two physical samples: a construction sample and a pre-production sample. The pre-production sample, once approved in writing, becomes the reference standard against which the whole run is measured. Development work is invoiced separately and is credited against the first production invoice when the order proceeds.
4. Orders, minimums and changes
The minimum production run is fifty units per model, per colour. Once cutting has started, changes to the specification are only possible where materials have not yet been consumed; any change is agreed in writing and may affect price and delivery date.
5. Payment
Unless agreed otherwise, fifty per cent of the order value is payable on confirmation and the balance before dispatch. Payments are made by bank transfer in the currency stated on the invoice. Title to the goods passes on full payment; risk passes according to the agreed Incoterm.
6. Delivery
Standard terms are EXW Vinnytsia or DAP for destinations within the European Union. Lead times are counted from approval of the pre-production sample and receipt of the advance payment. We inform you immediately if a delay arises; delays caused by force majeure, including hostilities, power restrictions or border closures, extend the delivery date by the duration of the event.
7. The nature of leather
Leather is a natural material. Differences in grain, pore structure, shade and depth of colour between hides — and between production batches — are inherent characteristics, not defects. Colour is matched to the approved sample within normal industry tolerance. Vegetable-tanned and waxed leathers are expected to change appearance with light and use.
8. Quality claims
Please inspect goods on receipt. Visible discrepancies against the approved sample should be reported within ten working days of delivery, with photographs and the article number. Where a claim is justified we will repair, replace or credit the affected units at our choice. Claims arising from wear, misuse, unsuitable storage or third-party alteration are not covered.
9. Designs, patterns and confidentiality
Drawings, patterns and samples you supply remain yours, are used only for your order and are never shown to another client. Patterns, constructions and technical solutions developed by us remain our intellectual property unless the contract assigns them to you. Both parties treat commercial terms as confidential.
10. Intellectual property of this site
The name, logotype, texts, illustrations and code of this website belong to Vinnytska Shkirhalantereina Fabryka. You may quote short passages with a link back; systematic copying, scraping or reuse for another commercial site is not permitted.
11. Liability
Our liability for any order is limited to the invoiced value of the goods concerned. We are not liable for indirect or consequential loss, including lost profit or loss of a retail season. Nothing in these terms limits liability that cannot be limited under Ukrainian law.
12. Governing law
These terms are governed by the law of Ukraine. The parties will attempt to settle any dispute by negotiation; failing that, the dispute is referred to the competent court at the seat of the factory in Vinnytsia, unless a signed contract provides for arbitration.
